Please read these terms carefully before using MooChedda. By accessing or using the platform, you agree to be legally bound by all provisions below. If you do not agree, you must not use the platform. This document is not legal advice — consult a qualified attorney for guidance specific to your situation.
Platform Nature & No Financial Services
MooChedda is a software technology platform and is not a registered broker-dealer, securities exchange, alternative trading system (ATS), investment adviser, commodity trading advisor, money services business (MSB), bank, or financial institution under the laws of any jurisdiction, including the State of Washington.
- Offer, sell, solicit, or underwrite securities or financial instruments
- Provide investment, financial, legal, or tax advice
- Act as an intermediary, custodian, or counterparty to any transaction
- Guarantee value, liquidity, or redemption of any digital asset
Nothing on the platform constitutes an offer or solicitation to invest or a promise of financial return.
No Investment Intent / Utility-Only Design
All tokens, digital assets, rewards, or promotional items created or issued through MooChedda are intended solely for consumptive, utility, or promotional purposes.
- Not intended as investments
- Not marketed with expectation of profit
- Not designed to generate returns from the efforts of others
- Subject to issuer-defined value or no value at all
Users acknowledge that digital assets may have no intrinsic or market value and may result in total loss.
Third-Party Issuance
All tokens and digital assets are created, issued, and controlled exclusively by third-party merchants or users. They are not verified, audited, or guaranteed by MooChedda.

- Legal classification or compliance of issued tokens
- Redemption, performance, or merchant behavior
Issuers bear sole responsibility for legal compliance under applicable laws, including Washington State securities and consumer protection laws (RCW 21.20 and related statutes).
No Custody; No Counterparty
- Hold user funds or digital assets
- Act as a custodian or escrow agent
- Participate as a party in transactions
All transactions occur directly between users and/or merchants.
Risk Disclosure
Use of the platform involves significant risk, including but not limited to:
- Total loss of value
- Smart contract bugs or protocol failure
- Fraud or cyberattacks
- Illiquidity or lack of redemption
- Regulatory reclassification or enforcement
Users assume all risks voluntarily and entirely.
Data, Privacy & Logging
By using MooChedda, users consent to collection and processing of the following data:

MooChedda does not sell personal data in violation of applicable law. Data may be shared with infrastructure providers, analytics providers, or legal authorities when required by law or for legitimate operational purposes.
Law Enforcement & Regulatory Cooperation
- Pursuant to subpoenas, court orders, or legal requests
- To comply with applicable law or regulation
- To investigate fraud, abuse, or security threats
Users waive any claims arising from lawful disclosure made in good faith pursuant to legal process.
Intellectual Property Rights
All platform content, including software, code, design, branding, documentation, and systems ("Platform IP"), is owned by MooChedda or its licensors and protected under U.S. intellectual property laws.
Users are granted a limited, non-exclusive, non-transferable, revocable license to access and use the platform for its intended purpose.
- Copy, modify, or distribute Platform IP
- Reverse engineer or extract source code
- Use MooChedda branding without prior written permission
- Create derivative works based on Platform IP
Beta / Experimental Technology Disclosure
MooChedda may include beta, experimental, or pre-release features, including blockchain, tokenization, or smart contract systems.
- Features may be unstable or incomplete
- Bugs, failures, or vulnerabilities may exist
- Features may change or be removed at any time without notice
All beta features are provided without warranties or guarantees of any kind.
Force Majeure
MooChedda is not liable for delays or failures caused by events beyond reasonable control, including:
- Natural disasters
- War, terrorism, or civil unrest
- Internet or cloud provider outages
- Blockchain network failures or congestion
- Cyberattacks or ransomware
- Government action or regulatory changes
Obligations under these Terms are suspended for the duration of such events.
No Fiduciary Duty
MooChedda does not act as a fiduciary, agent, advisor, broker, or trustee in any capacity. No fiduciary, quasi-fiduciary, or advisory relationship is created by use of the platform.
All interactions are strictly arm's-length commercial relationships. Users are solely responsible for their own decisions.
Limitation of Liability
To the fullest extent permitted by Washington law, MooChedda shall not be liable for:
- Loss of profits, revenue, or data
- Business interruption
- Loss of goodwill or reputation
- Indirect, incidental, punitive, or consequential damages
Total aggregate liability shall not exceed the greater of: (a) $100 USD, or (b) the total amount paid by the user to MooChedda in the preceding 12 months.
Indemnification
Users agree to indemnify, defend, and hold harmless MooChedda and its officers, directors, employees, and agents from any and all claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from:
- Misuse of the platform
- Token issuance or merchant activity
- Violation of these Terms or applicable law
- Third-party disputes involving the user
Sanctions & Compliance Restrictions
Users may not access the platform if they are located in, ordinarily resident in, or acting on behalf of individuals or entities in:
- OFAC-sanctioned jurisdictions
- Individuals or entities named on SDN or other restricted lists
MooChedda may block or restrict access at its sole discretion, without notice or liability, to comply with applicable sanctions and export control laws.
Arbitration Agreement (Mandatory)
All disputes arising from or relating to these Terms or use of the platform shall be resolved by final and binding arbitration under the rules of the American Arbitration Association (AAA).

Class Action Waiver
Users agree to bring claims only in their individual capacity and expressly waive any right to participate in:
- Class action proceedings
- Collective or consolidated actions
- Representative proceedings
This waiver is a material term of these Terms. If this waiver is found unenforceable for a particular claim, that claim must proceed in court — not arbitration — and all other claims remain subject to arbitration.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles.
Any permitted court action (i.e., for injunctive relief or enforcement of an arbitration award) shall be brought exclusively in the state or federal courts located in King County, Washington, subject to the arbitration provisions above.
Right to Modify or Terminate
MooChedda reserves the right, at its sole discretion, to:
- Modify, update, or replace any portion of these Terms
- Suspend or discontinue any feature or the entire platform
- Restrict or terminate any user's access
Any such action may be taken without prior notice or liability. Continued use of the platform following any modification constitutes acceptance of the revised Terms.
Entire Agreement
These Terms constitute the entire agreement between users and MooChedda with respect to the subject matter herein and supersede all prior or contemporaneous agreements, understandings, representations, or warranties, whether written or oral.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Acknowledgment
By accessing or using MooChedda, you confirm that:
- You have read and fully understood these Terms
- You accept all risks associated with use of the platform
- You agree to be legally bound by this agreement
